Introduction and Acceptance of Terms
Welcome to Omili! These Terms of Service ("Terms") govern your use of the Omili mobile application ("App") and related services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Definitions

"Omili" refers to Omili Ltd.
"User" refers to anyone who accesses or uses our App.
"Host" refers to users who create and manage content within the App.
"Content" refers to any text, images, audio, and other materials uploaded to the App.

License to Use
Omili grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

User Accounts

Account Creation: Users must create an account to access certain features of the App. You are responsible for maintaining the confidentiality of your account information.
Eligibility: You must be at least 13 years old to use the App. Users under 18 must have parental consent.
Verification: Users may verify their accounts by uploading a government-approved ID. This information is reviewed by our team to determine eligibility.

Acceptable Use
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

Use the App in any way that violates applicable laws.
Harass, threaten, or defame any person or entity.
Post any Content that is obscene, offensive, or otherwise objectionable.
Use abusive or inappropriate language in show titles, answers, or any other part of the App.
Post inappropriate or offensive images as show cover images.

Prohibited Conduct
You agree not to:

Use the App to engage in any unlawful activity.
Impersonate any person or entity or misrepresent your affiliation.
Engage in any form of spamming or unsolicited messages.
Reverse engineer or otherwise tamper with the App.
Post abusive, rude, or inappropriate content in any form.

User-Generated Content

Ownership: You retain ownership of the Content you upload. By uploading, posting, or otherwise making available content on Omili, including but not limited to images, audio, and video, you grant Omili a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display such content across our platform and affiliated channels. You represent and warrant that you have all necessary rights to grant this license and that your content does not violate the rights of any third party.
Responsibility: Users are solely responsible for the content they create, share, and publish on Omili. Omili is not liable for any legal issues or disputes that arise from user-generated content, including but not limited to intellectual property infringement, defamation, or privacy violations.
Defamatory/Illegal Content: Users are prohibited from posting content that is defamatory, illegal, harmful, or infringes on the rights of others. Omili reserves the right to remove any content that violates these terms or that we deem inappropriate, at our sole discretion.

Content Sharing by Omili

By participating in a show or uploading content to Omili, you agree that Omili may share clips, images, or excerpts from your shows or content on our official channels on third-party platforms, including but not limited to Instagram, YouTube, and TikTok. Omili may use this content for promotional purposes or to showcase popular shows and discussions.

Payments and Pricing

Payment Processing for Hosts: Hosts must create a Stripe account to receive payments. Payments for bids to speak, pay to listen, and in-app purchases are processed through Stripe.
Payment Processing for Users: Users must input their credit card or debit card information to bid to speak or pay to listen. These payments are securely processed by Stripe on behalf of Omili.
Credit Card Information: Users’ credit card or debit card information is collected and securely processed by Stripe.
Missed Payments: If a payment is missed, your access to certain features may be restricted until the payment is made.

Intellectual Property

All content, trademarks, and data on Omili, including the Omili logo and design, are the intellectual property of Omili Ltd. You may not use any of our intellectual property without our prior written consent.

Limitation of Liability

To the fullest extent permitted by law, Omili shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
Your use or inability to use the App.
Any unauthorized access to or use of our servers and/or any personal information stored therein.
Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our App.

Termination and Suspension of Accounts

Omili reserves the right to terminate or suspend your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the App, us, or third parties, or for any other reason.

Governing Law

These Terms are governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

Changes to Terms

We may modify these Terms at any time. We will notify you of any changes by posting the new Terms on the App and updating the "Effective Date." Your continued use of the App following the posting of changes constitutes your acceptance of such changes.
